Client Agreement

1. Services

Parveen Kumar ("Developer") agrees to provide web development, mobile development, and/or consulting services ("Services") as outlined in the project proposal or statement of work provided to the client ("Client").

2. Payment Terms

2.1. The Client agrees to pay the Developer the fees specified in the project proposal or statement of work.

2.2. Unless otherwise specified, payment terms are 50% upfront and 50% upon project completion for projects under ₹100,000. For larger projects, a payment schedule will be provided.

2.3. Invoices are due within 15 days of receipt. Late payments may incur a 2% monthly interest charge on the outstanding balance.

2.4. The Developer accepts payments via bank transfer, credit card, and other payment methods specified in the invoice.

3. Project Timeline

3.1. The Developer will provide an estimated timeline for project completion in the proposal or statement of work.

3.2. Delays caused by the Client (such as delayed feedback or content provision) will extend the project timeline accordingly.

3.3. The Developer will make reasonable efforts to meet deadlines but is not liable for delays caused by factors outside their control.

4. Revisions and Changes

4.1. The project includes the number of revisions specified in the proposal. Additional revisions will be billed at the Developer's hourly rate.

4.2. Substantial changes to the project scope may require a revised quote and timeline. The Developer will notify the Client if requested changes fall outside the original scope.

5. Intellectual Property

5.1. Upon full payment, the Client will own all rights to the final deliverables, except for third-party materials and the Developer's proprietary tools.

5.2. The Developer retains the right to display the work in their portfolio and for promotional purposes unless otherwise agreed in writing.

5.3. The Client is responsible for ensuring they have proper licenses for any third-party materials (images, fonts, plugins, etc.) they provide for the project.

6. Confidentiality

6.1. The Developer agrees to keep confidential any proprietary information shared by the Client during the course of the project.

6.2. This confidentiality obligation does not apply to information that is publicly available or that the Developer is legally required to disclose.

7. Termination

7.1. Either party may terminate this agreement with 14 days' written notice if the other party breaches a material term of this agreement.

7.2. If the Client terminates the project before completion, they agree to pay for all work completed up to the termination date, plus a 20% cancellation fee on the remaining project balance.

7.3. Upon termination, the Developer will transfer all completed work to the Client after receiving payment for services rendered.

8. Limitation of Liability

8.1. The Developer's liability is limited to the amount paid by the Client for the Services.

8.2. The Developer is not liable for any indirect, consequential, or incidental damages arising from the Services.

8.3. After the project is complete, the Client is responsible for maintaining and updating their website or application unless a maintenance agreement is in place.

9. Maintenance and Support

9.1. Unless specified in the proposal, this agreement does not include ongoing maintenance or support after project completion.

9.2. The Developer offers separate maintenance packages that can be purchased after project completion.

9.3. Emergency support outside of a maintenance agreement will be billed at 1.5 times the standard hourly rate.

10. General Provisions

10.1. This agreement represents the entire understanding between the parties and supersedes all prior agreements.

10.2. This agreement is governed by the laws of India.

10.3. Any disputes arising from this agreement will first be attempted to be resolved through mediation before pursuing legal action.

10.4. If any provision of this agreement is found to be unenforceable, the remaining provisions will remain in effect.

11. Special Promotions

11.1. Clients using the promotional code "CONFREE" are entitled to one free consultation session (up to 60 minutes) to discuss their project requirements.

11.2. The free consultation must be scheduled within 30 days of initial contact and is subject to the Developer's availability.

11.3. The promotional code must be mentioned at the time of initial inquiry and cannot be applied retroactively.

11.4. This promotion cannot be combined with other offers unless explicitly stated by the Developer.
